Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website ronzensworld.com and any services provided by Ronzens World, LLC, a Delaware limited liability company ("Ronzens World," "we," "us," "our"). By accessing the website or engaging us for services, you ("Client" or "you") agree to be bound by these Terms.

Note: Specific service engagements may be governed by a separate Statement of Work or signed agreement. In the event of a conflict, the signed agreement takes precedence.

02Eligibility

You must be at least 18 years old and authorized to enter into binding contracts on behalf of yourself or your business to use our services. By engaging us, you represent that you meet these requirements.

Fees

Service fees are outlined in the applicable proposal or pricing page. All fees are stated in U.S. Dollars unless otherwise specified.

Refunds

Due to the nature of professional services, fees paid for completed work are generally non-refundable. Pre-paid recurring services may be cancelled with 30 days' notice, and any unused prepaid amounts will be refunded on a pro-rata basis at our sole discretion.

05Intellectual Property

Client materials

You retain all rights to materials you provide us (logos, copy, images, brand assets). You grant us a limited license to use them solely for the purposes of the engagement.

Deliverables

Upon full payment, you receive ownership of final deliverables created specifically for you (e.g., custom website code, designs, ad creative). We retain ownership of our pre-existing methodologies, frameworks, templates, and underlying tools used to produce the deliverables.

Portfolio rights

We reserve the right to display our work for you in our portfolio and case studies unless you specifically request otherwise in writing.

06Third-Party Services

Our services may rely on third-party platforms (Google, Meta, hosting providers, analytics tools, etc.). We are not responsible for outages, policy changes, account suspensions, or pricing changes by these third parties. Where third-party fees apply (e.g., ad spend, domain renewals), they are pass-through costs payable directly by you.

07Performance Disclaimer

SEO, advertising, and marketing results depend on many variables outside our control, including search engine algorithms, competitor activity, market conditions, and the quality of products or services being marketed. While we apply industry best practices and have a strong track record, we cannot guarantee specific rankings, traffic levels, or revenue outcomes. Any forecasts shared are estimates, not promises.

08Limitation of Liability

To the maximum extent permitted by law, Ronzens World shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total aggregate liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim.

09Indemnification

You agree to indemnify, defend, and hold harmless Ronzens World, its members, employees, and contractors from any claims, damages, or expenses arising out of (a) your breach of these Terms, (b) any content or materials you provide, or (c) your use of our deliverables in violation of applicable law.

10Termination

Either party may terminate an engagement with 30 days' written notice. We may terminate immediately if you materially breach these Terms (including non-payment) and fail to cure within 7 days of notice. Upon termination, you remain responsible for fees earned through the termination date.

11Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the engagement. This obligation survives termination for two (2) years.

12Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes shall be resolved by binding arbitration in Delaware under the rules of the American Arbitration Association. Each party shall bear its own costs.

13Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top will reflect any revisions. Continued use of the website or services after changes constitutes acceptance of the revised Terms.

14Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
